Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 17, 2019, the Compensation Committee of Cooper-Standard Holdings Inc. (the “Company”) approved the departure of Song Min Lee, senior vice president and president, Asia Pacific, who will depart the Company at the end of 2019. Mr. Lee is entitled to termination without cause benefits under the Company's Executive Severance Pay Plan as described in the Company's 2019 Proxy Statement under “Potential Payments on Termination.”
